These Terms of Use (“Terms”) are an agreement between you and IGNITION MUSICTECH LIMITED (the “Company”, “we”, “us” or “our”) governing the Staffnotes iPad application, accounts, cloud services, website and related features.

By downloading, installing, accessing or using Staffnotes, you accept these Terms and the Privacy Policy. If you do not agree, do not create an account, purchase a subscription or use the service. Apple Media Services Terms and applicable App Store rules also apply when the app is obtained through the App Store.

1. Eligibility and age

No-account local mode can be used without sending data to us. Creating a Staffnotes account, using cloud services, purchasing a subscription, applying for student pricing or contributing training data requires the user to be at least 16 and legally capable of entering this agreement. We do not currently offer a parental-consent process.

If we reasonably believe a user is ineligible, we may request verification, restrict or suspend the account, and delete or restrict data to the extent applicable law requires.

2. Service and devices

Staffnotes is a native iPad sheet-music management application requiring iPadOS 17.0 or later. Mac distribution is disabled. We may add, change or discontinue features, subject to your non-waivable rights. The features included in free and paid offerings are those shown at the relevant time in the App Store, purchase screen and app.

Only one iPad may be signed in to an account at a time. Signing in on a second device automatically signs out the first. Paid cloud service may let you download uploaded content to a new iPad, but this does not permit concurrent account use on multiple devices.

3. Accounts and security

You may sign in with email and password, Apple or Google. You must provide accurate information, protect credentials, not share the account, and promptly notify us of unauthorised use. Amazon Cognito handles raw passwords; our code does not read or store them.

You are responsible for activity through the account, except to the extent loss results from our breach of law or failure to use reasonable safeguards. We may require re-verification or temporarily restrict access for security, fraud prevention, investigation or protection of others.

4. Licence and intellectual property

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to use Staffnotes on an Apple-branded iPad that you own or control as permitted by Apple’s Usage Rules. All rights in the software, interface, brands, models, documentation and service technology remain with the Company or its licensors except for the express licence.

You must not copy, sell, rent, sublicense, reverse engineer, bypass technical protections, extract models or source code, scrape automatically, stress-test, interfere with security, introduce malicious code, or use Staffnotes to build a competing service, except where applicable law expressly prohibits the restriction.

5. Your content

You retain lawful rights in PDFs, MusicXML, annotations, recordings and other content you upload or create. You grant us a worldwide, non-exclusive licence only as needed to operate, sync, back up, convert, export, support, secure and improve the services you use. It ends when the content is deleted, subject to backups, legal retention and the separate training licence in section 7.

You represent that you have the rights needed to upload, copy, convert and use the content and will comply with copyright, privacy, performer-rights and recording laws. You must not upload unlawful, infringing, malicious, fraudulent, hateful, harassing or privacy-invasive content. Staffnotes does not provide public sharing, and you must not use workarounds to distribute protected content.

6. PDF conversion, MusicXML and automatic score following

PDF-to-MusicXML conversion, automatic page turning and score following are assistive tools. Output may be incomplete, inaccurate or unsuitable for a particular performance. Check it before rehearsal, performance or other reliance and keep the original file. We do not promise that every score can be recognised.

To avoid recomputing the same public-domain or licensed edition, we may operate a whitelisted reference MusicXML library containing only rights-cleared material. We do not provide another user’s private PDF, annotations or account data to you. Account-linked MusicXML is deleted under the Privacy Policy; a separately rights-cleared reference copy containing no private information may remain.

7. Microphone, recordings and model training

The tuner, manual practice recording and automatic score-following features require microphone access. At launch, manual practice recordings remain only on the iPad and are not uploaded or cloud-synced; they are a separate data flow from the automatic score-following training recordings described below. You must comply with local recording and consent laws and avoid capturing another person’s private conversation without authority. Training contribution is optional and its separate switch is off by default.

By enabling the switch, you agree that after an automatic score-following session a complete recording receiving an on-device quality score of 80 or above may upload automatically without another per-session prompt. A recording below 80 or an interrupted recording is not uploaded. You may turn the switch off, stop recording, or cancel before an upload finishes.

For an uploaded training recording, you grant us a worldwide, royalty-free, non-exclusive licence to test, label, analyse, train, evaluate and improve Staffnotes sound-recognition, score-following and related models. Account and device links are removed immediately on upload and a random number is used, so we generally cannot locate, return or delete it by user afterwards. Withdrawal stops future collection but cannot reverse completed or no-longer-attributable training. Raw audio is retained for no more than 12 months; the Privacy Policy explains further handling.

8. Subscription, free trial and automatic renewal

Staffnotes currently offers a monthly auto-renewing subscription. The Euro-area standard price is €15 per month and the student price is €9.99 per month. In Hong Kong, the United States, the United Kingdom and other regions, the local currency, tax and price shown by the App Store apply. The purchase confirmation screen controls current price, trial eligibility and plan details.

Eligible users receive a two-week free trial. Each Apple ID may receive the trial only once, as enforced using Apple or App Store records. Unless cancelled before the trial ends, it converts to a paid subscription and Apple charges the displayed price. Manage or cancel in Apple ID subscription settings; cancellation normally takes effect at the end of the current paid period.

Apple handles billing, tax, payment methods and refunds under its rules. We can assist with entitlement verification or purchase restoration but cannot promise to approve a refund on Apple’s behalf. Price or plan changes will be notified through Apple and as applicable law requires, with consent where required.

A subscription belongs to the Apple ID that purchased it and is held by the first Staffnotes account that submits that subscription. If another Staffnotes account later submits the same purchase, the system may reject the binding and explain why. Contact product support for purchase restoration or account-binding issues.

9. Student price

Student pricing requires a valid student card uploaded to the Company’s AWS environment for automated verification and possible manual review by authorised personnel in Hong Kong. Eligibility continues until the document expires. If re-verification is not completed, subsequent renewals return to the then-current standard price. Student eligibility for an Apple ID is applied using Company and Apple verification records.

We may reject forged, expired, unclear, mismatched or unverifiable evidence. If it indicates the user is under 16, we may deny student pricing and prevent or suspend the account and cloud service. Retention and deletion of the document and result are described in the Privacy Policy.

10. Service and marketing communications

We may send necessary verification, security, password-reset, subscription, export or conversion completion, account-deletion and material terms-update messages. Marketing email is sent only with consent and includes an unsubscribe method. Opting out of marketing does not stop necessary service messages. The launch version sends no iPad push notifications.

11. Export, downgrade and account deletion

You may export cloud data through available app features. An export package is generally retained for three days and its link works for 24 hours. Free and paid features, capacity and limits are those shown on the purchase screen. After a subscription ends, paid or cloud functions may stop; remaining cloud data is handled under the Privacy Policy and the notices then shown in the app.

Account deletion is irreversible. For an account using Sign in with Apple, the system first requests revocation of the relevant Apple sign-in token and does not delete account data until Apple confirms revocation. Deletion then removes account information and every S3 version of user cloud files, but not training audio already de-linked from the account, training results that cannot be attributed to an individual, or separately rights-cleared reference MusicXML. Backup remnants roll out of the recovery window within 35 days.

Deleting a Staffnotes account does not cancel an Apple subscription. Even if you request immediate account deletion, separately cancel the subscription in Apple ID settings to avoid future charges.

12. Inactive accounts

We may schedule deletion if an account has no activity in any function for two consecutive years and has no active subscription. We send notices to the registered email 30 days and 7 days before deletion. Signing in before deletion keeps the account.

13. Third-party services

Staffnotes depends on third-party services including Apple, AWS, Google, Formspree and GitHub. Apple or Google sign-in, App Store subscriptions and third-party websites are also subject to the relevant third-party terms. Providers are responsible for their independent availability, content and processing, while we remain responsible for obligations that law places on us.

14. Copyright complaints

If you believe material on the Staffnotes service infringes copyright, send a written notice to copyright@igmusictech.com containing: (a) the owner and authorised representative; (b) the work claimed; (c) the disputed material and enough information to locate it; (d) contact details; (e) a good-faith statement that the use is unauthorised; and (f) a statement that the information is accurate and you are authorised to submit it. We may request more information and may remove content or restrict an account as law permits.

This mailbox is the Company’s copyright-notice channel and does not state that the Company has registered a DMCA agent with the US Copyright Office. Where US law applies, the Company will process legally sufficient notices and counter-notices.

15. Suspension and termination

We may proportionately restrict, suspend or terminate service for a serious or repeated breach, infringement, security risk, subscription fraud or legal requirement. Where circumstances allow, we will explain the reason and provide an opportunity to cure or appeal. We may act immediately for urgent security, illegality or fraud risks.

You may stop using the service or delete the account. Termination does not affect payments, rights or liabilities already accrued. Intellectual-property, training-licence, liability, dispute and general provisions that by nature should survive will survive.

16. Service quality, warranties and disclaimers

We provide the service with reasonable skill and care, but Staffnotes may experience interruption, delay, sync conflict, conversion error or recognition error. Keep an independent backup of important scores and recordings. Do not treat automatic following, tuning, recognition or conversion as the sole basis for a safety-critical or professional decision.

To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties not expressly stated here. Nothing excludes rights that cannot be excluded under Hong Kong law, EU or UK consumer law, applicable US state law or other mandatory law.

17. Limitation of liability

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, punitive or consequential loss, or loss of profit, opportunity, reputation, business, data or content. Aggregate liability for all service-related claims is limited to the greater of fees you actually paid for Staffnotes during the 12 months before the event and €100 or its local-currency equivalent.

The limitation does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of a non-excludable consumer guarantee, data-protection liability that law does not permit us to limit, or any other liability that cannot lawfully be limited. Where a jurisdiction disallows a limitation, it applies only to the extent allowed.

18. Indemnity

To the extent permitted by law, if a third party brings a claim because you unlawfully uploaded or used content, infringed its rights, or deliberately committed a serious breach of these Terms, you will indemnify the Company for reasonable, actually incurred loss and cost. This does not cover loss caused by the Company’s own fault or reduce a non-waivable consumer right.

19. Apple-required terms

• These Terms are between you and the Company, not Apple. The Company, not Apple, is responsible for Staffnotes and its content.
• Apple has no obligation to provide maintenance or support. The Company provides support using the contacts in these Terms.
• If Staffnotes fails to conform to an applicable warranty, you may notify Apple and, where applicable, Apple may refund the purchase price for the app. To the maximum extent permitted by law, Apple has no other warranty obligation.
• The Company, not Apple, addresses claims concerning the app or its possession or use, including product liability, legal or regulatory compliance, consumer protection and intellectual-property infringement claims.
• You represent that you are not in a country or region subject to a US Government embargo or designated as supporting terrorism and are not on a US Government prohibited or restricted-party list. You must comply with applicable export and sanctions laws.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept them, Apple may enforce the provisions that benefit Apple as a third-party beneficiary.

20. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Subject to any consumer right to sue in the courts where you live or invoke mandatory local law, you and the Company submit to the non-exclusive jurisdiction of the Hong Kong courts. Nothing deprives a consumer in the EU, UK, United States or elsewhere of protection that cannot lawfully be waived.

Before formal proceedings, we encourage you to contact the legal mailbox with the account email, a description and the remedy sought so we can try to resolve the matter within a reasonable time. This does not prevent a complaint to a regulator or a claim in a court with jurisdiction.

21. General

If a provision is invalid, the rest remains effective and the invalid provision is adjusted as closely as law permits to its intended effect. Failure to enforce is not a waiver. You may not assign this agreement without written consent. The Company may assign it in a reorganisation, merger, asset transfer or lawful business succession without reducing non-waivable rights.

We may revise the Terms for product, legal or security changes. Material changes receive reasonable notice through the app or service email. Where consent is legally required, we obtain it separately. Continued use constitutes acceptance only where law permits and proper notice has been given.
